This Hardware Warranty and Liability Disclaimer applies to all hardware supplied, installed, or recommended by Codedevza AI Ltd, including RFID equipment, antennas, sensors, gateways, cables, and any related devices (“Hardware”).

The purpose of this document is to set clear expectations for performance, warranty coverage, ownership, liability, and limitations of use.

1. Hardware Supplied by Codedevza AI

Codedevza AI may provide or source hardware through trusted suppliers for use with its software platforms. Hardware includes, but is not limited to:

Passive RFID tags
RFID antennas and readers
IoT sensors
Gateways and network bridges
Mounting accessories
Cables and power components

All hardware remains subject to the technical limitations defined by the original manufacturer.

2. No Performance Guarantee

Hardware performance can be affected by:

Environmental conditions
Building materials
Interference from other systems
Misalignment or obstruction
Human installation factors
Third-party devices in the same frequency range

Codedevza AI does not guarantee that hardware will perform without interruptions or errors.

3. Warranty Coverage

3.1 Standard Warranty

Hardware is provided with the manufacturer’s standard warranty only.
Codedevza AI does not extend, modify, or replace the manufacturer’s warranty.

3.2 Exclusions

The following are not covered by warranty:

Damage caused by incorrect installation by third parties
Damage resulting from water, humidity, heat, or physical impact
Wear and tear from normal use
Misuse, tampering, or modification
Network interference or unstable power supply
Incorrect configuration by the client or third parties
Environmental or building-specific issues beyond Codedevza AI’s control

3.3 Replacement

Replacement of faulty hardware is at the manufacturer’s discretion and is not guaranteed by Codedevza AI.

4. No Refunds

All hardware sales are final.

No refunds for change of mind
No refunds for performance affected by building conditions
No refunds for compatibility issues caused by third-party systems
No refunds for client-led installation errors

5. Installation and Setup

5.1 Installation Support

Codedevza AI may assist with installation configuration.
The client remains responsible for:

Providing safe access to installation areas
Ensuring electrical and data environments are compliant
Maintaining the physical security of hardware

5.2 Improper Use

Codedevza AI is not responsible for hardware failures resulting from:

Incorrect handling or storage
Use outside recommended guidelines
Use with unsupported equipment
Interference or obstruction introduced by the client

6. Limitation of Liability

To the fullest extent permitted by law:

6.1 Codedevza AI Ltd is not liable for:

Damage caused by hardware failure
Loss of revenue, operational disruption, or reputational impact
Inaccurate readings due to environmental or building constraints
Damage to property, equipment, or systems
Loss of data or corruption of data
ESG reporting inaccuracies caused by external factors
Incorrect CO₂ calculations due to inaccurate third-party data
Physical damage caused by installation or placement
Any claim arising from predictive or AI-generated outputs

6.2 Total liability

Codedevza AI’s total liability for hardware-related claims is limited to the cost of the hardware supplied by Codedevza AI.

6.3 No consequential damages

Codedevza AI does not accept liability for indirect or consequential losses under any circumstances.

7. Ownership and Licensing

• Hardware purchased by the client becomes the property of the client once fully paid.
• Associated software, integrations, and analytics platforms remain owned by Codedevza AI.
• Hardware does not grant any rights to Codedevza AI’s intellectual property.

8. Third-Party Hardware

When third-party hardware is supplied:

Warranty is governed solely by the manufacturer
Codedevza AI assumes no responsibility for third-party defects
Support is limited to reasonable assistance with configuration

9. Compatibility

Codedevza AI cannot guarantee compatibility with:

Legacy building systems
Unstable network infrastructures
Supplier-managed equipment
Third-party sensors, platforms, or systems

The client is responsible for ensuring physical and environmental compatibility.

10. Indemnity

The client agrees to indemnify Codedevza AI Ltd against all claims arising from:

Client misuse of hardware
Incorrect installation conducted by the client or third parties
Damage caused by the client’s environment, systems, or personnel
Breaches of safety or building regulations
Interference caused by equipment not supplied by Codedevza AI

11. Governing Law

This disclaimer is governed by the laws of England and Wales. Any disputes fall under the exclusive jurisdiction of the courts of England and Wales.
